Sarah Lewis is a partner in Cleary Gottlieb's London office, where her practice focuses on international capital markets transactions with a particular emphasis on US securities laws and their application to offerings by non-US companies across the UK, Europe, the Middle East and the Nordics.
Sarah advises on a broad range of equity and debt capital markets transactions. Her equity capital markets work includes IPOs on both European and US exchanges, rights offerings, direct share placements, accelerated bookbuild offerings and block trades.
On the debt side, Sarah advises on senior, subordinated and capital securities offerings, issuance programmes such as EMTN and covered bond programmes, convertible and exchangeable securities, and liability management transactions.
In particular, Sarah works with UK and European financial institutions listed in the United States on their ongoing disclosure and listing obligations as US-listed companies, including corporate governance requirements, as well as their issuance programmes and offerings in the United States.
Sarah joined Cleary Gottlieb in 2004 and became a partner in 2024, bringing over two decades of experience advising leading financial institutions and corporates on complex cross-border capital markets transactions.
